Terms of Service

1. Acceptance of Terms

By accessing, registering for, or using GoPinger ("the Service"), operated by GoPinger ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Acceptable Use Policy, Cookie Policy, Refund Policy, Service Level Agreement, and Data Processing Agreement, all of which are incorporated herein by reference. If you do not agree to these Terms in their entirety, you may not access or use the Service.

By creating an account, you represent and warrant that you have the legal authority to enter into this binding agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

GoPinger provides website, API, and SSL certificate monitoring services. We check your designated endpoints at regular intervals and notify you when issues are detected. The Service includes uptime monitoring, response time tracking, SSL certificate expiration alerts, email monitoring, screenshot monitoring, status pages, incident management, on-call scheduling, and related analytics tools.

Screenshot monitoring captures periodic visual snapshots of your designated web pages using an automated browser. Screenshots are provided as-is for informational purposes only. We do not warrant that screenshots will accurately reflect the current state of your endpoints at all times, that rendering will be identical to any specific browser or device, or that all page elements will load correctly in every capture.

The Service is provided on a best-effort basis. We do not warrant that monitoring checks will detect all issues, that alerts will be delivered without delay, or that monitoring data will be error-free. You acknowledge that the Service should not be your sole mechanism for detecting critical failures.

3. User Accounts

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age or the age of majority in your jurisdiction to create an account. By creating an account, you represent that you meet this requirement.

We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, with or without reason, and with or without notice.

4. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree to comply with all provisions of the Acceptable Use Policy. Violation of the Acceptable Use Policy constitutes a material breach of these Terms and may result in immediate termination of your account without refund.

5. Payment and Billing

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. Fees are billed in advance on a monthly or annual basis, depending on your chosen billing cycle.

All fees are exclusive of applicable taxes, duties, and levies. You are solely responsible for all taxes associated with your use of the Service, except for taxes based on GoPinger's net income.

Refunds are governed exclusively by our Refund Policy. We offer a one-time 30-day money-back guarantee on the first paid subscription, subject to the strict conditions described in the Refund Policy.

We reserve the right to change our pricing with 30 days' notice. Failure to pay any fees when due will result in automatic suspension of your account after a 7-day grace period. A reactivation fee may apply for accounts suspended due to non-payment.

6. Free Plan and Trials

We offer a free plan with limited features as described on our pricing page. Free plans are provided "as-is" with no service level guarantees, no SLA, and no support obligations. We reserve the right to modify, limit, or discontinue the free plan at any time without notice. When a free plan account reaches a Pro plan limit, you may activate a one-time 30-day Pro trial that requires no credit card. After the trial period, your account automatically reverts to the free plan unless you choose to subscribe.

7. Service Level

Service availability commitments for eligible paid plans are described in our Service Level Agreement. Free plan accounts have no uptime guarantee of any kind.

We are not liable for any downtime, data loss, missed alerts, or service interruptions. Service credits, where applicable under the SLA, are the sole and exclusive remedy for service unavailability.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your information. By using the Service, you consent to the data practices described in those policies.

You retain ownership of any data you provide to the Service. We claim no ownership rights over your monitoring configurations, alert settings, or other user content. However, you grant GoPinger a limited, non-exclusive license to use your data solely for the purpose of providing and improving the Service.

For customers subject to the GDPR or similar data protection regulations, the processing of personal data is governed by our Data Processing Agreement.

9. Intellectual Property

The Service, including its design, code, features, documentation, trademarks, logos, and all related intellectual property, is the exclusive property of GoPinger and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during the term of your subscription.

You shall not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service or any part thereof. Any unauthorized use immediately terminates the license granted herein.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOPINGER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES THAT MONITORING RESULTS, DATA, OR ANALYTICS WILL BE ACCURATE, RELIABLE, OR COMPLETE
  • WARRANTIES THAT DEFECTS IN THE SERVICE WILL BE CORRECTED
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM GOPINGER SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOPINGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF GOPINGER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, GOPINGER SHALL HAVE NO LIABILITY FOR:

  • FAILURE TO DETECT DOWNTIME, OUTAGES, OR SECURITY ISSUES ON YOUR ENDPOINTS
  • DELAYED, LOST, OR UNDELIVERED ALERT NOTIFICATIONS
  • FALSE POSITIVE OR FALSE NEGATIVE MONITORING RESULTS
  • ANY ACTIONS TAKEN OR NOT TAKEN BY YOU BASED ON MONITORING DATA OR ALERTS
  • UNAUTHORIZED ACCESS TO YOUR ACCOUNT DUE TO YOUR FAILURE TO SECURE CREDENTIALS

GOPINGER'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNTS YOU PAID TO GOPINGER IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

12. Indemnification

You agree to indemnify, defend, and hold harmless GoPinger and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and court costs) arising from or related to:

  • Your use of or access to the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
  • Any content or data you submit to or transmit through the Service
  • Your monitoring of endpoints you do not own or are not authorized to monitor

13. Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, in our sole discretion.

Upon termination for any reason:

  • Your right to use the Service ceases immediately
  • All outstanding fees become immediately due and payable
  • GoPinger will delete your account data within 30 days of termination, unless retention is required by applicable law
  • No refunds will be issued for termination due to violation of these Terms or the Acceptable Use Policy

The following sections survive termination: Warranty Disclaimer, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions which by their nature should survive.

14. Force Majeure

GoPinger shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from causes beyond GoPinger's reasonable control, including but not limited to: natural disasters, pandemics, epidemics, acts of war or terrorism, civil unrest, government actions or orders, cyberattacks (including DDoS attacks), power outages, internet or telecommunications infrastructure failures, third-party service provider outages, or any other event of force majeure.

15. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the arbitration rules of the applicable jurisdiction in which GoPinger operates. The arbitration shall be conducted by a single arbitrator, and the decision of the arbitrator shall be final and binding.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Each party shall bear its own costs and expenses (including legal fees) in connection with any dispute resolution proceedings, unless the arbitrator determines otherwise.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hungary, without regard to conflict of law principles. Subject to the arbitration clause above, any disputes not subject to arbitration shall be resolved exclusively in the competent courts of Budapest, Hungary. You irrevocably consent to the exclusive jurisdiction of such courts.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. The remaining provisions of these Terms shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, Refund Policy, Service Level Agreement, and Data Processing Agreement, constitute the entire agreement between you and GoPinger regarding the Service and supersede all prior agreements, understandings, representations, and negotiations, whether written or oral.

19. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without GoPinger's prior written consent. Any attempted assignment without consent is void. GoPinger may freely assign, transfer, or delegate its rights and obligations under these Terms, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without your consent and without notice.

20. No Waiver

The failure of GoPinger to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative of GoPinger. A waiver of any provision on one occasion shall not be construed as a waiver of such provision on any subsequent occasion.

21. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify users of material changes via email or a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
